Terms of Service

These Terms of Service (“Terms”) govern your use of zVoice(the “Service”), operated by Novify Solutions LLC, a Wyoming (USA) limited liability company (“Novify”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

zVoice converts text you provide into synthetic speech using artificial intelligence, on a monthly subscription basis. We may modify, improve, or discontinue features, voices, or engines at any time.

2. Accounts

You must provide accurate information and are responsible for keeping your credentials and API keys secure, and for all activity under your account. You must be at least 18 years old.

3. Subscription, quota and billing

• Paid plans are monthly subscriptions charged in advance through Stripe and renewed automatically until you cancel.
• Each plan includes a quota of characters per billing period. Characters are counted on the normalized text you submit and are consumed when a synthesis is created.
• Unused characters do not roll over to the next period, have no cash value, and cannot be transferred, resold, or exchanged.
• You can cancel at any time from your account. Cancellation takes effect at the end of the current period; you keep access and quota until then.
• Prices may change. Any change applies to periods starting after we notify you, never to a period already paid.
• A free plan with a small monthly quota may be offered for evaluation. It is not for commercial use and may change or end at any time.

4. No monetary refunds

Billing periods already started are non-refundable. We do not provide monetary refunds for unused characters, change of mind after a renewal, forgetting to cancel, or dissatisfaction with the generated output. By subscribing, you expressly acknowledge and accept this policy. This does not limit rights that cannot be waived under applicable mandatory law.

4.1 Service interruptions — our remedy is quota

If a synthesis fails for a reason attributable to us or our providers, the characters for that request are automatically returned to your quota. If a prolonged interruption attributable to us prevents you from using your quota for a significant part of a billing period, your sole and exclusive remedy is that we will, at our discretion, restore or extend that quota once the Service is available again. This does not entitle you to a monetary refund.

5. Acceptable use

You agree not to use the Service to create or distribute audio that:

• is illegal, or infringes intellectual property, privacy, or publicity rights;
• impersonates a real person or organization, or is presented as a genuine recording of someone who did not say it;
• is used for fraud, scams, phone or voice-based social engineering;
• harasses, defames, or deceives, or is sexual content involving minors;
• promotes violence, hatred, or self-harm;
• attempts to disrupt, reverse engineer, overload, or gain unauthorized access to the Service, or to extract, resell, or redistribute the underlying voice models.

We may suspend or terminate accounts that violate these rules, without refund.

6. Your text and the generated audio

You retain the rights you hold in the text you submit, and you are responsible for having the rights to it. Subject to your compliance with these Terms and to the terms of the underlying voice provider, we assign to you our rights, if any, in the audio generated for you, and paid plans include commercial use of that audio. The free plan is for evaluation only. The voices themselves, their names and the models remain the property of their owners: you receive a licence to the generated audio, not to the voice.

7. Disclaimer of warranties

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that the generated audio will meet your expectations.

8. Limitation of liability

To the maximum extent permitted by law, Novify Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits or data. Our total liability for any claim relating to the Service shall not exceed the amount you paid to us in the three (3) months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless Novify Solutions LLC from any claims or damages arising out of the text you submit, the use you make of the generated audio, or your use of the Service in violation of these Terms or applicable law.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access for violations of these Terms. No refunds are provided upon termination.

11. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. The courts located in Wyoming shall have exclusive jurisdiction, unless mandatory law in your place of residence provides otherwise.

12. Changes

We may update these Terms. Continued use after changes take effect constitutes acceptance of the updated Terms.
